By accessing or using StupidNeko ("the Service"), operated by JSR Software Inc. ("Company," "we," "our," or "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.
StupidNeko is an AI-powered language-learning app, available on the web and as a mobile app, built around short conversation drills. The Service:
Delivering the Service requires sending your practice content to third-party AI providers, as described in our Privacy Policy and in Section 6.
Age Requirement: You must be at least 13 years old to use the Service. By using the Service, you represent and warrant that you are 13 years of age or older. Because the Service can record your voice, do not let anyone under 13 use it or appear in your recordings.
You sign in to StupidNeko with your Google or Discord account — we do not issue or manage a separate StupidNeko password. You are responsible for:

You retain ownership of the content you submit — your typed and spoken replies, the questions you ask, and your profile information. By using the Service, you grant us a non-exclusive, royalty-free license to use, store, process, and display your content to provide the Service to you. This includes sending your content to the third-party AI providers we use to grade your replies, transcribe your speech, and generate audio (see our Privacy Policy for the list of providers and what each receives).
When you give a spoken reply on the web app, the Service records your microphone and sends the recording to a third-party speech-to-text provider to transcribe it. We do not keep the raw audio recording — we store only the resulting text transcript as part of your drill. By giving a spoken reply, you consent to this recording and transcription. Do not record audio you do not have the right to share.
You choose what to practice, and you can create conversations about almost any topic, including ones that reference third-party media such as characters, shows, games, books, or brands. That media belongs to its respective owners — StupidNeko does not own, license, or endorse it, and your use of it does not imply any affiliation with or sponsorship by its owners. You are responsible for the topics and content you submit; you must not use the Service to infringe anyone's intellectual property or other rights, or to reproduce substantial portions of a copyrighted work; and our AI providers apply their own content rules. We may decline, limit, or remove topics or content at our discretion.
The Service's conversations, grading, feedback, corrections, and transcriptions are generated by automated AI systems. AI output can be inaccurate, incomplete, or inconsistent. You should not rely on it as authoritative, professional, or certified language instruction. We make no guarantee that any AI-generated grade, correction, or translation is correct.
The Service relies on third parties in two ways. First, you sign in through Google or Discord, whose own terms and privacy policies govern those accounts. Second, we engage infrastructure and AI providers — including Convex, Vercel, OpenRouter, Anthropic, OpenAI, and Google Cloud Text-to-Speech — to operate the Service and process your content on our behalf, as described in our Privacy Policy. We are not responsible for the practices of the sign-in providers or any other third-party service you separately choose to use.
Current Status: Payment processing is not currently implemented. The Service is currently free to use.
Future Subscriptions: We may introduce paid plans in the future. If we do, we will provide advance notice and updated terms covering billing, cancellation, and refunds.
Your privacy matters to us. Please review our Privacy Policy, which explains what we collect, how we use it, and the third-party AI providers we send your content to.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components, and we make no guarantees about learning outcomes or language proficiency — your results depend on your own effort and practice. We also do not warrant the accuracy of any AI-generated content (see Section 7).
TO THE MAXIMUM EXTENT PERMITTED BY LAW, JSR SOFTWARE INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR USE, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (USD $100). BECAUSE THE SERVICE IS CURRENTLY FREE, THIS GENERALLY MEANS USD $100.
Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above exclusions and limitations may not apply to you. Nothing in these Terms limits any liability that cannot be limited or excluded under applicable law.
You agree to defend, indemnify, and hold harmless JSR Software Inc. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or relating to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any law or of the rights of any third party, including any intellectual property, privacy, or publicity right; or (d) any content or audio you submit, including any recording of another person that you provide without their consent. We may assume the exclusive defense and control of any matter otherwise subject to indemnification by you, and you agree to cooperate with us in asserting any available defenses.
You may stop using the Service at any time. To close your account and request deletion of your data, email us at support@stupidneko.com.
We may suspend or terminate your account, with or without notice, if you breach these Terms or use the Service in a way that risks harm to other users, third parties, or us.
Upon termination, your right to use the Service ends. When you close your account, we delete your account and the personal data associated with it; some information may persist for a limited period in operational logs or backups. We may retain aggregate, de-identified statistics that do not identify you.
The Service and its original content, features, and functionality are owned by JSR Software Inc. and are protected by copyright, trademark, and other intellectual property laws. This does not include the content you submit, which remains yours (see Section 6).
We respect intellectual property rights and respond to clear notices of alleged copyright infringement. If you believe content on the Service infringes a copyright you own or control, send a written notice to our copyright agent that includes: (a) your physical or electronic signature; (b) identification of the copyrighted work you claim is infringed; (c) identification of the material you claim is infringing and enough detail for us to locate it; (d) your contact information; (e) a statement that you have a good-faith belief the use is not authorized by the owner, its agent, or the law; and (f) a statement, under penalty of perjury, that the information in your notice is accurate and that you are the owner or are authorized to act on the owner's behalf.

We may remove or disable access to material we believe in good faith to be infringing, and we will, in appropriate circumstances, terminate the accounts of users who are repeat infringers.
We may modify these Terms from time to time. We will post the updated Terms on this page and change the "Last updated" date above. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law principles. Any dispute arising from these Terms or your use of the Service shall be resolved exclusively in the state or federal courts located in New Castle County, Delaware, and you consent to the personal jurisdiction of those courts.
If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that the remaining Terms remain in full force and effect.
